Agreement to These Terms

WIDE ORDER MEDIA AND COMMUNICATION PLC provides IMela through https://imela.tech. These Terms of Service govern your access to and use of the IMela platform, including marketplace listings, communications, wallets, referrals, ads, social account connections, creator campaigns, and related support services.

By accessing or using IMela, you agree to be bound by these Terms of Service. If you use IMela on behalf of a business or other organization, you represent that you have authority to bind that entity to these terms.

Eligibility and Accounts

  • You must be at least 15 years old to use IMela.
  • You must provide accurate, current, and complete information when creating or maintaining an account.
  • You are responsible for safeguarding your credentials, managing access to your account, and all activity that occurs under your account.
  • We may request additional verification, business details, or channel ownership information before enabling certain features.

IMela Services

IMela provides tools that allow users to discover products and services, create listings, submit requests, negotiate and manage work, process wallet-related flows, participate in referral programs, and launch or join advertising and creator campaigns.

Some services depend on connected third-party providers and may change, be suspended, or be unavailable without notice when required for maintenance, security, legal compliance, or provider limitations.

Marketplace, Listings, and User Content

  • You are responsible for content you upload or publish, including listings, messages, campaign assets, channel information, submissions, descriptions, prices, contact details, and media.
  • You must have all rights, permissions, consents, and licenses necessary for the content and activity you submit through IMela.
  • You may not post false, misleading, infringing, defamatory, unlawful, abusive, or harmful content, or content that violates third-party platform rules.
  • We may review, moderate, reject, restrict, or remove content or accounts that violate these terms, legal obligations, or platform safety requirements.

Orders, Contracts, Wallets, and Payments

Certain IMela features involve payments, deposits, withdrawals, escrow, commissions, rewards, or other value transfers. All payment-related functionality is subject to successful verification, available balances, platform controls, and any additional payment or compliance checks we require.

You are responsible for ensuring that your payment references, account information, payout details, and transaction instructions are accurate. We may delay, reverse, cancel, or refuse transactions where fraud, error, abuse, legal restrictions, or policy violations are suspected.

  • Fees, commissions, and processing logic may apply to specific services or transactions.
  • Refunds, reversals, or settlement timing may depend on campaign status, contract status, dispute review, processor response, or legal obligations.
  • IMela may maintain records related to wallet and financial activity for audit, compliance, fraud prevention, and dispute resolution purposes.

Advertising and Creator Campaign Terms

IMela offers advertising and campaign tools that may involve Facebook pages, Telegram channels or groups, TikTok creators, YouTube creators, and other supported services. Advertisers are responsible for lawful campaign content, truthful claims, authorized media, budgets, and compliance with applicable platform requirements.

Channel owners and creators are responsible for maintaining valid connected accounts, ownership rights, and compliance with campaign instructions and third-party platform rules.

  • IMela may review, approve, reject, pause, cancel, or remove advertising campaigns or creator submissions at our discretion for policy, quality, fraud, safety, or legal reasons.
  • Campaign results may vary and are not guaranteed unless expressly stated in a documented campaign arrangement.
  • Participation, ranking, validation, views, clicks, reach, engagement, or payout calculations may depend on platform data, campaign rules, fraud filters, and IMela review processes.

Third-Party Platforms and Integrations

Some IMela features require you to connect services operated by third parties, including social networks, messaging tools, analytics services, or payment providers. Your use of those services remains subject to their separate terms and privacy policies.

IMela is not responsible for downtime, policy decisions, API changes, account suspensions, data restrictions, or actions taken by third-party services. If a third-party provider changes or disables functionality, IMela may suspend or modify related platform features.

Prohibited Conduct

  • Using IMela for unlawful, fraudulent, deceptive, abusive, harassing, or harmful activity.
  • Bypassing security controls, scraping restricted data, interfering with service operation, or attempting unauthorized access.
  • Impersonating another person or entity, misrepresenting ownership of channels, pages, or content, or creating false engagement or fraudulent metrics.
  • Uploading malware, infringing intellectual property, distributing spam, or using IMela in violation of law or third-party platform rules.

Intellectual Property and License

IMela and its underlying software, branding, design, content, and service elements are owned by or licensed to IMela and protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, reverse engineer, or create derivative works from the platform.

You retain ownership of content you submit, but you grant IMela a non-exclusive, worldwide, royalty-free license to host, reproduce, store, adapt, display, transmit, and use that content as necessary to operate, improve, secure, moderate, and promote the service.

Termination and Suspension

We may suspend, restrict, or terminate your access to all or part of IMela at any time if we believe you have violated these Terms of Service, created risk or legal exposure, engaged in fraud or abuse, or if continued service is no longer commercially or technically feasible.

You may stop using the platform at any time, but termination does not automatically remove obligations that arose before termination, including financial, contractual, compliance, or dispute-related obligations.

Disclaimers

IMela is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted operation, complete security, specific business outcomes, campaign performance, creator participation, audience reach, sales conversion, or error-free functionality.

Transactions and interactions between users are ultimately the responsibility of the participating parties. IMela may provide tooling, workflow support, moderation, payment rails, and communication channels, but we are not a party to every underlying commercial arrangement unless expressly stated.

Limitation of Liability

To the maximum extent permitted by applicable law, IMela and its affiliates, officers, employees, contractors, and partners will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or expected savings arising out of or related to your use of the platform.

Where liability cannot be excluded, our total liability for claims arising out of or related to IMela will be limited to the amount you paid to IMela for the specific service giving rise to the claim during the twelve months preceding the event, or the minimum amount required by law if greater.

Indemnity

You agree to defend, indemnify, and hold harmless IMela, its affiliates, personnel, and partners from and against claims, liabilities, damages, losses, and expenses arising from your content, your use of the platform, your violation of these Terms of Service, your infringement of any rights, or your breach of any law or third-party rules.

Governing Law and Disputes

These Terms of Service are governed by the laws of Ethiopia, without regard to conflict of law principles. Any dispute arising out of or relating to IMela or these Terms of Service will be subject to the competent courts or authorities of Ethiopia, unless applicable law requires otherwise.

Changes to These Terms

We may revise these Terms of Service from time to time. Updated terms become effective when posted, unless a later date is stated. Your continued use of IMela after updated terms are published constitutes acceptance of the revised terms.
